1. Agreement
By approving a quotation (in writing or verbally), the Client agrees to these Terms & Conditions and enters into a binding agreement with Ima Studio Design.
2. Fees & Payment Terms
A 50% non-refundable deposit is required before any work begins.
The remaining 50% balance is due upon completion, prior to delivery of final files.
Ima Studio Design reserves the right to withhold final deliverables until full payment is received.
3. Late Payments
Invoices are payable by the due date stated on the invoice (typically within seven (7) days), unless otherwise agreed in writing.
Any invoice that remains unpaid twenty-eight (28) days after the invoice date will incur interest at a rate of 2% per month on the outstanding balance.
A monthly administration fee of £40 may also be applied to overdue accounts to cover the cost of recovery.
Ima Studio Design reserves the right to suspend work and withhold deliverables until all outstanding amounts are paid in full.
The Client shall be responsible for any reasonable costs incurred in recovering overdue payments.
4. Quotations
All quotations are valid for 30 days from the date of issue.
After this period, Ima Studio Design reserves the right to revise pricing.
5. Scope of Work
The quotation is based on the agreed scope of work.
Any additional work, revisions, or changes outside of this scope will be quoted separately and must be approved before proceeding.
6. Client Responsibilities
The Client must provide all required content (e.g. text, images, logos, brand assets) within 10 days of project approval, unless otherwise agreed.
Delays in providing content may result in project delays and/or additional charges.
7. Revisions & Author’s Corrections
The project includes revisions as outlined in the quotation.
Any additional changes after approval of design direction or during production will be considered extra work and charged accordingly.
For web design, changes to agreed concepts or supplied content after production begins will incur additional fees.
8. Ownership & Intellectual Property
All design work remains the property of Ima Studio Design until full payment has been received.
Upon full payment, the Client is granted rights to the final approved deliverables.
Ima Studio Design retains the right to display completed work in its portfolio and promotional materials.
9. Third-Party Costs
Costs for printing, photography, stock imagery, fonts, hosting, or other third-party services are not included unless explicitly stated.
Ima Studio Design is not responsible for third-party service performance.
10. Proofing & Approval
The Client is responsible for reviewing and approving all final artwork before production or publication.
Approval must be given in writing (email or otherwise).
Ima Studio Design is not liable for errors (e.g. spelling, layout, colours) once final approval has been given.
11. Print & Production Disclaimer
Ima Studio Design is not responsible for issues arising during printing or production, including but not limited to:
Colour variations
Material differences
Printing errors
Missed deadlines by third parties
12. Project Suspension
Ima Studio Design reserves the right to pause or suspend work if the Client fails to meet payment terms or project requirements.
Work will resume once the issue is resolved.
13. Data Protection
Ima Studio Design will handle personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Client data will only be used for the purpose of delivering services and will not be shared without consent.
14. Cancellation
If the Client cancels the project, the Client must pay for:
All work completed up to the cancellation date
Any non-refundable external costs incurred
A cancellation fee of 30% of the remaining project value
15. Working Hours
A standard working day is 8 hours.
Timelines are based on standard working hours unless otherwise agreed.
16. Confidentiality
All client information and materials will be treated as confidential and will not be shared with third parties without permission.
17. Data Protection
Ima Studio Design will handle personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Client data will only be used for the purpose of delivering services and will not be shared without consent.
18. Limitation of Liability
Ima Studio Design’s liability for any claim arising out of this agreement shall be limited to the total fees paid by the Client for the project.
Ima Studio Design shall not be liable for any indirect, incidental, or consequential losses, including loss of profits, revenue, or business opportunities.
19. Force Majeure
Ima Studio Design shall not be liable for failure or delay in performing obligations due to events beyond reasonable control, including but not limited to:
Natural disasters
Illness
Internet or technical failures
Government restrictions
20. Acceptance
By accepting the quotation, the Client confirms they have read, understood, and agreed to these Terms & Conditions.
